The contracted consultancy services are to be financed by the World Bank towards the cost of the Technical Assistance for Kambarata 1 hydropower project. The objectives of this assignment are to:
(i) Assist with developing a governance framework, including drafting an Intergovernmental Agreement among the Kyrgyz Republic, Kazakhstan and Uzbekistan and associated legal package, for the project;
(ii) Undertake project structuring, establishment and operationalization of the project company;
(iii) Prepare a macroeconomically and financially viable financing plan for the project; and,
(iv) Assist in designing, drafting, and negotiating bankable Power Purchase Agreements (PPAs) and other relevant documents for sale of electricity to (a) large industrial electricity consumers in the Kyrgyz Republic who may be candidates for entering into direct PPAs with the Kambarata-1 hydropower plant project; (b) other domestic offtake arrangements in the Kyrgyz Republic, and; (c) in relation to all exports of electricity.

Interested consultants should provide information demonstrating that they have the following required qualifications and relevant experience to perform the services:
(i) Experience in development of large regional electricity generation projects (larger than 1000 MW) including drafting and negotiating of intergovernmental agreements and project agreements as well as establishment and operationalization of project company;
(ii) Experience in development of financial models and providing financial structuring advisory services for large publicly led hydropower generation projects (larger than 1,000 MW);
(iii) Experience in advising clients on evaluation of electricity prices in non-regulated electricity systems; regulatory and legal advice related to electricity system; drafting and supporting clients in negotiation, and execution of PPAs for export of electricity and sale to large domestic industrial consumers in emerging markets;
(iv) Experience with transboundary water allocation and management aspects; and,
(v) Experience in training of governmental personnel in core skills related to development of hydropower projects. Knowledge of the energy sector and experience with transboundary water management in Central Asia would be an advantage.
Consultants may associate with other firms in the form of a joint venture or a sub-consultancy to enhance their qualifications (type of association shall be clearly indicated in the proposal). The consultants may submit their Expressions of Interest as individual firms or associate in the form of joint venture or sub-consultancy. However, the qualification of the sub-consultant will not be evaluated when forming the shortlist. In case of joint venture, all the members of the joint venture should individually meet shortlisting criteria and shall be jointly and severally liable for the entire assignment, if selected.
The attention of interested Consultants is drawn to Section III, paragraphs, 3.14, 3.16, and 3.17 of the World Bank’s “Procurement Regulations for IPF Borrowers” November 2020, setting forth the World Bank’s policy on conflict of interest. A consultant will be selected in accordance with the Quality-And-Cost Based Selection method set out in the Procurement Regulations.
